Definitions

Affiliate means an entity that controls, is controlled by, or is under common control with a party, where control means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

Company (referred to as "the Company", "we", "us", or "our") means Exige, Inc., 1140 Woodruff Road, Suite 256, Greenville, South Carolina 29607. Exige, Inc. is a Delaware corporation. The office listed above is in the State of South Carolina.

Service means the Exige website and the parking services offered through it. Terms means these terms and conditions. You means the person or legal entity accessing or using the Service.

Agreement

These terms govern use of the Service and form the agreement between you and the Company. By accessing or using the Service you agree to these terms and to the Privacy Policy. If you do not agree, do not use the Service. You represent that you are at least 18 years old.

Governing law

Your order will be processed in accordance with the laws of the State of South Carolina.

The laws of the State of South Carolina, excluding its conflict-of-law rules, govern these terms and your use of the Service. Your use of the Service may also be subject to other local, state, or federal laws.

Links to other websites

The Service may link to third-party websites or services that the Company does not own or control. The Company is not responsible for their content, privacy policies, or practices, or for any loss caused by your use of them. Read the terms and privacy policy of every third-party site you visit.

ParkGuard

Protection plans offered on Exige parking systems, or through affiliates or subsidiaries, are offered exclusively by Park Guard Inc. A licensed third party administers the plans and processes claims. By opting in, or where a plan is included unless you opt out, you agree to Park Guard Inc.'s terms of use, which may change. The current terms are at parkguard.com/terms-of-use-exige. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including a breach of these terms. When access ends, your right to use the Service ends.

Limitation of liability

The entire liability of the Company and its suppliers under these terms, and your exclusive remedy, is limited to the amount you actually paid through the Service, or 100 USD if you have not purchased anything through the Service.

To the maximum extent permitted by law, the Company and its suppliers are not liable for special, incidental, indirect, or consequential damages, including lost profits, lost data, business interruption, personal injury, or loss of privacy, arising out of the Service or third-party software or hardware used with it, even if advised of the possibility. Some states do not allow these limitations. In those states, liability is limited to the greatest extent the law allows.

Disclaimer

The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by law, the Company and its affiliates, licensors, and service providers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, operate without interruption, or be error free.

Disputes

If you have a concern or dispute about the Service, you agree to try to resolve it informally by contacting the Company first.

United States legal compliance

You represent that you are not located in a country subject to a United States government embargo or designated as a terrorist supporting country, and that you are not listed on any United States government list of prohibited or restricted parties.

SMS and email

By providing a mobile number or email address and opting in, you consent to SMS and email about our services. Consent to marketing messages is not a condition of purchase. Reply STOP to a message, or text STOP to 39443, to opt out of SMS. You may receive one confirmation. Reply HELP, or text HELP to 39443, or email contact@exige.io for help. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Unsubscribe from marketing email with the link in the message, or by emailing contact@exige.io. Opting out of marketing does not stop transactional, account, security, or other service messages required to provide something you requested.

Other terms

If a provision of these terms is unenforceable, it will be modified to the extent needed to make it enforceable, and the rest stay in effect. A failure to enforce a right is not a waiver of that right or of any later breach. If we provide a translation, the English text controls.

We may change these terms. If a change is material, we will try to give at least 30 days' notice before it takes effect. What is material is determined by us. Continuing to use the Service after the change takes effect means you accept the revised terms.
